| By virtue of the
Assumption Reinsurance Agreement executed between PARAMOUNT
LIFE & GENERAL INSURANCE CORPORATION (Paramount) and AEGON
LIFE INSURANCE (PHILIPPINES), INC. (AEGON Life Philippines),
duly approved by the Insurance Commission, Paramount agrees
to assume from AEGON Life Philippines its life insurance portfolio
under its terms and conditions. |

| Paramount shall
provide full policy service for all in-force AEGON Life Philippines
policies at the 30th Floor, LKG Tower, 6801 Ayala Avenue, Makati
City. To maintain full coverage, all policyholders of in-force
AEGON Life Philippines policies are enjoined to continue making
their premium payments current. |
